Form A New Company
1. Name selection of the new company.
2. To obtain name clearance certificate from the Register of Joint Stock Company (RJSC).
3. To prepare memorandum and Articles of Associations.
If The Company Joint Venture:
I. To Prepare Joint Venture Agreement.
II. List of Sponsors/Directors.
III. Amount of Authorized Capital.
IV. Amount of Paid Up Capital.
V. Obtain Bank Solvency Certificate.
VI. TIN Number of each Director.
VII. Voter Identification Number.
VIII. PP Size photo copy of each Director
(2 Copies).
4. Articles of Memorandum with above papers be submitted to RJSC within 30 days from the date of name clearance.
Papers for Board of Investment (BOI) Registration:
1. Trade License.2. Company Tax Identification No (TIN).
3. VAT Registration.
4. Joint Venture Agreement.
5. Memorandum & Articles of Association.
6. Board Resolution.
7. Certificate of Incorporation.
8. Deed of Rental Agreement for Factory
(If rented).
9. Pay Order for Tk. 10,000.- favoring CEO of BOI. (Before issued PO please check the amount)

1. IRC Recommendation from BOI.
2. IRC from CCI&E.
3. ERC from CCI&E.
4. Tax Hoiday-NBR.
5. DCCI Certificate.
6. Fire License.
7. Factory License.
8. NOC from Union Council/City Corporation.
9. Environment Certificate.
10. Labor Office Clearance.
11. Membership Certificate from Association.
12. Bond License Recommendation from Association.
13. Bond License Recommendation from BOI.
